Yes, but -1 to the roll for being unsteady.

No.
or does it have to be in HTH combat ?
If an exhausted unit takes more hth casualties and 1 CPF it is destroyed.

ie It pases it's waver test for a further cause of disorder.
If an exhausted uint (which is also therefore shaken and therefore
disordered) suffers a second cause of disorder from combat and fails its waver
it is
destoyed as any unit both broken and exhausted would be (5.24).

Can an exhausted unit counter to move away from enemy ?
(exhausted by combat but now not in contact)
